Stage 2 — Due diligence (week 2-3)

Architecture deep-dive
90-minute review of how CloudFran fits your platform stack. Patent-IP boundary explained. Product-family scope confirmed.
Reference customer
Existing CloudFran tenant in a comparable vertical / scale. Direct call without CloudFran in the room.
Commercial deep-dive
Revenue share, territorial exclusivity, market-share cap, term length, performance minimums, termination triggers, IP rights.
Customer base review
Your existing customer base reviewed against CloudFran's ICP. Migration plan drafted.

Stage 3 — MSA (week 4-5)

Term sheet
Tier confirmed, annual commitment locked, 3-7 year term, performance minimums.
Master Services Agreement
Full executed legal agreement covering all the above + DPA + (where applicable) BAA + Arbitration Policy + custom IP terms.
Onboarding kick-off
Implementation team assigned. Integration plan agreed. Customer migration approach confirmed.

Stage 4 — Implementation (per tier)

Regional (30 days)
Tenant provisioning + co-branding + integration with your existing CRM/billing. Customer migration support for first 25 customers.
National (60 days)
White-label + customization of customer-facing surfaces + your billing flow setup + initial 100 customers migrated.
Strategic (90+ days)
Co-engineered roadmap features + source-code escrow setup + dedicated platform-engineering pod onboarding.
Global (120+ days)
Multi-region deployment + joint patent filing planning + DRE team integration with your engineering org.

Stage 5 — Operate (year 1+)

25% market-share cap
CloudFran caps direct customer-acquisition revenue at 25% of the addressable market in your exclusive territory. We don't compete with you head-on.
Quarterly business review
Performance against minimums, roadmap alignment, customer health metrics, escalation pipeline.
Joint go-to-market
National + Strategic + Global tiers include co-marketing on CloudFran channels (case studies, conference co-presence, partner page).
Performance minimums
Annual revenue + customer-count minimums per the MSA. Underperformance triggers reduced exclusivity rights, then termination.
